Effective Date: September 15, 2026
This document sets out the Terms of Service (the "Agreement" or "Terms"), a legally binding contract between NeuraCryption Private Limited, a company incorporated in India ("NeuraCryption," the "Company," "we," "us," or "our"), and the individual, enterprise, or legal entity ("Customer," "User," or "you") accessing or using the artificial intelligence models, telecommunications routing software, WebRTC interfaces, and related application programming interfaces (collectively, the "Services").
These Services are offered globally. Wherever you are located, by creating an account, depositing funds, or otherwise accessing the Services, you expressly acknowledge reading, understanding, and agreeing to be bound by this Agreement. If you do not agree, you must immediately cease all use of the Services.
1. Eligibility and Global Access
1.1 Capacity to Contract
You represent that you are at least eighteen (18) years old, or the age of legal majority in your jurisdiction if higher, and have the legal capacity to enter into this Agreement. The Services are not directed at, and may not be used by, individuals below this age.
1.2 Global Availability
NeuraCryption makes the Services available to Customers in most countries and territories. Certain features (for example, outbound telecommunications routing) may be limited, restricted, or unavailable in specific jurisdictions due to local regulatory requirements, carrier limitations, or export control law. Availability of a feature in the dashboard does not guarantee its lawful use in every jurisdiction; the Customer remains responsible for confirming local legality before use, per Section 6.
1.3 Sanctions and Export Control
You represent and warrant that you are not (a) located in, or a resident of, a country or territory subject to comprehensive trade sanctions administered by the U.S. Treasury's Office of Foreign Assets Control (OFAC), the United Nations Security Council, the European Union, or the United Kingdom; (b) listed on any restricted-party or denied-persons list maintained by such authorities; or (c) otherwise prohibited from receiving the Services under applicable export control or sanctions law. NeuraCryption may suspend or terminate access immediately, without liability, if it reasonably believes this representation is inaccurate.
1.4 Language
This Agreement is drafted in English. Any translation provided is for convenience only; the English version governs in the event of conflict, except where local law mandates that a translated version control.
2. Account Lifecycle, Security, and Administrative Governance
2.1 Account Registration
To access the Services, the Customer must register an account exclusively at the official domain, neuracryption.com, and provide accurate, current, and complete information.
2.2 Account Activation and Minimum Capitalization
Activation of Services is contingent upon the Customer depositing a minimum prepaid balance of five United States Dollars ($5.00 USD), or the equivalent in a supported local currency at the prevailing exchange rate shown at checkout. No API calls or telecommunications routing may be initiated prior to the clearing of this minimum deposit.
2.3 Account Deletion Protocol
Once an account has initiated any financial transaction, manual self-deletion via the dashboard is disabled, to protect ledger reconciliation and fraud mitigation. To request deletion, the Customer must submit a request to [email protected]. NeuraCryption will act on the request within the timeframe required by applicable law in the Customer's jurisdiction (see Section 8), and in any event no later than thirty (30) days, subject to the data retention obligations described in Section 8.
2.4 Prohibition on Synthetic Accounts
Customers may not circumvent rate limits, concurrency caps, or pricing tiers by creating multiple or duplicate accounts ("Multi-Accounting"). Confirmed Multi-Accounting will result in an immediate ban across all associated accounts. No refunds will be issued for balances forfeited due to confirmed abuse under this Section.
3. Billing Architecture, Payments, and Financial Policy
3.1 Pay-As-You-Go Architecture
The Services operate on a Pay-As-You-Go basis. Customers manage expenditure via pre-paid balances or automated billing configured in their dashboard.
3.2 Currency and Local Taxes
Balances are denominated in USD by default; where local payment rails require settlement in another currency, NeuraCryption will disclose the applicable conversion rate at the time of transaction. The Customer is solely responsible for any value-added tax, goods-and-services tax, withholding tax, or similar levy imposed by their local jurisdiction, except where NeuraCryption is legally required to collect and remit such tax at the point of sale, in which case it will be itemized separately.
3.3 Low-Balance Suspension (Prepaid Accounts)
If a Customer's prepaid balance falls below three United States Dollars ($3.00 USD) or its local-currency equivalent, all Services are automatically suspended. NeuraCryption is not liable for business interruption or data loss resulting from this algorithmic suspension.
3.4 Non-Refundable Deposits
Deposited funds are non-refundable, except:
- Service Inaccessibility: if the Customer cannot access the Services due to a verifiable, systemic failure originating on NeuraCryption's infrastructure, a refund may be requested at [email protected]; or
- Unresolved Technical Error: if a configuration error remains unresolved after documented technical intervention by NeuraCryption support, a refund of the affected transaction may be issued.
Refunds are not available for funds forfeited due to Multi-Accounting bans or for payments made through unauthorized channels. Where mandatory local consumer law grants a statutory refund or cooling-off right that cannot be waived (for example, EU/UK distance-selling rights or similar protections elsewhere), that mandatory right applies notwithstanding this Section.
3.5 Exclusive Payment Gateway
All financial transactions must be executed exclusively through the official platform portal. NeuraCryption bears no liability for payments made on unauthorized platforms or resulting from third-party fraud. Enterprise clients may receive official payment links exclusively from [email protected].
4. Pricing Tiers, Rate Limits, and Concurrency Economics
The following rate limits, concurrency rules, and pricing apply to all standard accounts, regardless of country of registration, subject to Section 3.2 on currency conversion.
| Service Category | Operational Feature | Pricing (per minute, USD) |
|---|---|---|
| Artificial Intelligence | Standard AI Processing | $0.05 |

The pricing and exact service details are governed at our Pricing Page.
View Detailed Pricing4.1 AI Concurrency Limits
AI processing concurrency is capped based on the Customer's trailing monthly expenditure:
- Monthly spend under $100: hard capped at 5 concurrent processes.
- Monthly spend under $1,000: hard capped at 30 concurrent processes.
- Monthly spend above $1,000: unlimited concurrent processes, subject to availability.
4.2 Call Center Fair Use Policy
Call Center Services include unlimited concurrency globally, subject to a Fair Use Policy capped at one (1) new call per second (CPS) per account. This limit governs the rate of new call intake; calls already connected when the intake window resets continue to run in parallel without additional concurrency charges.
4.3 Directional Calling Restrictions
By default, new accounts are provisioned for inbound calling only. Outbound calling is enabled only after NeuraCryption completes a manual business verification review, which may include additional review for high-risk countries or call patterns.
5. Telecommunications and Regulatory Compliance
5.1 General Global Compliance Obligation
Regardless of the country from or to which a call is placed, the Customer is solely responsible for ensuring that all calls made or received through the Services comply with all applicable local, national, and supranational telecommunications, consumer-protection, privacy, and anti-spam laws, including any local do-not-call, consent, recording-disclosure, or robocall regulations in the calling and called party's jurisdiction. NeuraCryption does not provide legal advice on, and makes no representation as to, the telecommunications law of any specific country; the Customer must independently confirm compliance before placing calls into any jurisdiction.
5.2 United States
The Customer must comply with the U.S. Telephone Consumer Protection Act (TCPA) and its implementing FCC rules, including the FCC's February 2024 Declaratory Ruling that AI-generated voices constitute an "artificial voice" under the TCPA and therefore require prior express consent (or prior express written consent for marketing calls), and the FCC's consent-revocation rules effective April 11, 2025, which require honoring an opt-out communicated through any reasonable method (e.g., "STOP," "REVOKE," "CANCEL," a verbal request, or a designated opt-out channel) within ten (10) business days. The Customer must also comply with the Telemarketing Sales Rule and all applicable state-level telemarketing and AI-disclosure statutes.
5.3 Canada
The Customer must comply with the Canadian Radio-television and Telecommunications Commission's (CRTC) Unsolicited Telecommunications Rules, including National Do Not Call List (DNCL) scrubbing obligations, and Canada's Anti-Spam Legislation (CASL) to the extent it applies to any accompanying electronic messaging.
5.4 Rest of World
For calls to or from any other country, the Customer is responsible for identifying and complying with the equivalent local framework (for example, GDPR-adjacent ePrivacy and telemarketing rules in the EU/UK, Australia's Do Not Call Register and Spam Act, India's Telecom Commercial Communications Customer Preference Regulations, or other applicable national telemarketing, consent, or recording-disclosure regimes). NeuraCryption may, at its discretion, restrict outbound calling to specific countries where regulatory risk cannot be adequately verified.
5.5 Consent and Do-Not-Call Obligations
The Customer represents and warrants that, prior to placing any outbound call, it has obtained all legally required consent for that jurisdiction, has scrubbed contact lists against applicable do-not-call registries, and will honor opt-out or revocation requests within the timeframe required by applicable law (and in any event no later than ten (10) business days).
5.6 AI Disclosure
The Customer agrees to configure its AI Models to disclose their automated/AI nature to called or calling parties at the inception of the call, wherever required by applicable law, and to provide a clear method for the called party to end the interaction or opt out of future contact. NeuraCryption may suspend outbound access if it reasonably suspects non-compliant activity in any jurisdiction.
6. AI Usage, BYOC Liability, and Disclaimers
6.1 Nature of Services
NeuraCryption is a software and artificial intelligence services provider, not a licensed telecommunications carrier in any jurisdiction. Customers using a Bring Your Own Carrier (BYOC) model are solely responsible for their relationship and compliance with their chosen telecommunications provider(s), in every country of operation.
6.2 Customer Control of BYOC Configuration
The AI models act on the context files (context.md), system prompts, and function-calling endpoints supplied by the Customer (the "BYOC Configuration"). The Customer has sole control over, and responsibility for, these instructions.
6.3 Split Liability Disclaimer
- Customer-Induced Actions: As between NeuraCryption and the Customer, the Customer is solely liable for any actions, outputs, or decisions executed by the AI Model that result directly from the Customer's BYOC Configuration, including statements made to third parties, functions executed (e.g., unauthorized data modification), and any resulting legal violations in any jurisdiction (such as TCPA, CASL, or local-equivalent infractions).
- Model Defects: To the maximum extent permitted by applicable law, NeuraCryption disclaims liability for inaccuracies, "hallucinations," or unexpected outputs generated by the AI Models, provided the Services are functioning within stated technical parameters. The Customer is responsible for implementing appropriate safeguards, human review, and fallback procedures within its BYOC Configuration, particularly for regulated, safety-critical, or consumer-facing use cases.
6.4 Acceptable Use Policy and Prohibited Conduct
The Customer is strictly prohibited from using the Services to generate illegal material, promote violence, facilitate fraud or social engineering, generate non-consensual deepfakes, interfere with elections, or violate the rights of any third party. NeuraCryption reserves the right to immediately suspend or terminate any account, without notice or refund, if it reasonably suspects the Customer is generating prohibited content or using the Services for malicious purposes.
7. Indemnification
The Customer agrees to indemnify, defend, and hold harmless NeuraCryption, its officers, and employees from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of: (a) the Customer's BYOC Configuration and resulting AI conduct; (b) the Customer's calling activity, including violations of the TCPA, CRTC rules, CASL, or any equivalent law in any jurisdiction in which the Customer operates; or (c) the Customer's violation of applicable law or this Agreement.
8. Data Privacy and Cross-Border Compliance
8.1 General Roles
Depending on the Customer's location and the personal data involved, the Customer generally acts as the entity determining the purpose and means of processing personal data (referred to under various frameworks as a "Data Fiduciary," "Controller," or "Business"), and NeuraCryption acts as the processing entity carrying out operations on the Customer's behalf (a "Data Processor" or "Service Provider"). The Customer is solely responsible for obtaining necessary consents and providing notices to end-users under the law applicable to those end-users.
8.2 India - DPDP Act
Where the DPDP Act, 2023 and the Digital Personal Data Protection Rules, 2025 apply, NeuraCryption processes personal data as a Data Processor on the Customer's documented instructions and supports the Customer's obligations regarding data principal rights, breach notification, and retention under that framework.
8.3 European Economic Area / United Kingdom
Where the EU General Data Protection Regulation or the UK GDPR applies to personal data processed through the Services, NeuraCryption will process such data as a processor under a data processing addendum available on request, and will implement appropriate technical and organizational measures and support the Customer's obligations regarding data subject rights and cross-border transfer safeguards.
8.4 United States (State Laws)
Where applicable U.S. state privacy laws (such as the California Consumer Privacy Act, as amended) apply, NeuraCryption will process personal data as a "service provider" or equivalent role, consistent with the restrictions such laws place on that role.
8.5 Other Jurisdictions
For jurisdictions not specifically addressed above, NeuraCryption will process personal data consistently with generally applicable data-protection principles (purpose limitation, data minimization, and security) and will cooperate with the Customer's reasonable requests to meet its obligations under the Customer's local law.
8.6 Data Retention
NeuraCryption will retain operational metadata (including call logs and billing records) in accordance with the Customer's documented instructions, or as strictly necessary to comply with applicable telecommunications, tax, and cybersecurity regulations, whichever is longer, unless a Customer's applicable law mandates a shorter maximum retention period, in which case that shorter period controls.
8.7 Law Enforcement Access
Retained data is encrypted at rest and will only be accessed and disclosed to authorities pursuant to a valid, binding court order, subpoena, or compulsory legal process recognized under the law of the jurisdiction from which the request originates.
9. Force Majeure
NeuraCryption shall not be liable for any failure or delay in performance caused by a Force Majeure Event, including acts of God, natural disasters, war, terrorism, government action, sanctions, export control changes, nationwide or regional telecommunications outages, internet infrastructure failures outside NeuraCryption's control, and pandemics.
10. Enterprise Custom Agreements
10.1 Dedicated Enterprise Guarantees
Customers requiring specialized API throughput or custom telecommunications integrations may negotiate a separate Enterprise Master Services Agreement (MSA). Unlike standard accounts, executed Enterprise MSAs include a legally binding 99.99% network and service uptime guarantee and access to dedicated 24/7 priority engineering support. Custom enterprise agreement requests must be initiated by directly contacting the enterprise division at [email protected].
10.2 Conflict of Terms
In the event of any conflict between an executed Enterprise Agreement and these standard Terms of Service, the provisions of the custom Enterprise Agreement shall absolutely prevail.
11. Disclaimer of Warranties and Limitation of Liability
11.1 No SLA and "As-Is" Provision
Unless governed by a custom Enterprise Agreement (per Section 10), NeuraCryption provides the Services, including all telecommunications routing and AI processing, strictly on an "AS-IS" and "AS-AVAILABLE" basis. NeuraCryption does not offer any Service Level Agreement (SLA), uptime guarantee, or latency commitment for standard accounts.
11.2 Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEURACRYPTION EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NEURACRYPTION DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR COMPLETELY SECURE.
11.3 Generative AI Output Disclaimer
The Customer acknowledges that artificial intelligence and Generative AI models are experimental technologies. The AI Models may generate outputs that are inaccurate, hallucinated, or otherwise inappropriate. NeuraCryption disclaims any and all responsibility or liability for the accuracy, content, or reliability of the AI output. The Customer is strictly prohibited from relying on the Services for medical, legal, financial, or other professional advice. The Customer is solely responsible for implementing human-in-the-loop safeguards and fallback procedures within their BYOC Configuration.
11.4 Intentional Pacing and Latency Variance
NeuraCryption architects its Services to maintain an optimal conversational pacing, typically targeting a 400ms to 500ms response window. This baseline intentionally mimics natural human dialogue. However, real-time AI latency is inherently variable and dependent on multiple external factors, including the complexity of the Customer's BYOC Configuration, third-party telecommunications networks, and the execution of intensive operations such as function calling or database retrievals.
While we continuously optimize our infrastructure for peak performance, NeuraCryption does not guarantee fixed or maximum response times. The Customer acknowledges that dynamic latency is a normal characteristic of generative AI and global telecommunications, and such standard variances do not constitute a system defect, outage, or a breach of this Agreement.
11.5 Waiver of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEURACRYPTION, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, REPUTATION, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THIS AGREEMENT, REGARDLESS OF THE LEGAL THEORY ASSERTED, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.6 Aggregate Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEURACRYPTION'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY THE CUSTOMER TO NEURACRYPTION IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100 USD).
11.7 Statutory Exclusions
Nothing in this Agreement shall exclude or limit liability that cannot be lawfully excluded or limited under applicable law, such as liability for death, personal injury caused by negligence, or fraudulent misrepresentation.
12. Governing Law, Dispute Resolution, and Consumer Carve-Outs
12.1 Governing Law
These Terms are governed by, and construed in accordance with, the laws of the Republic of India, without regard to conflict-of-law principles.
12.2 Exclusive Venue
Subject to Section 12.3, any dispute arising out of or relating to these Terms is subject to the exclusive jurisdiction of the competent courts located in Pune, Maharashtra, India, and the Customer irrevocably waives any objection to this venue.
12.3 Consumer Protection Carve-Out
Notwithstanding Sections 12.1 and 12.2, if the Customer is a natural person acting as a consumer (rather than a business) and resides in a jurisdiction whose mandatory consumer-protection law grants non-waivable rights regarding applicable law, venue, or dispute forum, including, without limitation, consumers resident in the United States, Canada, the European Economic Area, the United Kingdom, Australia, or any other jurisdiction with equivalent mandatory protections, those mandatory rights apply to the extent required by such law, notwithstanding anything to the contrary in this Agreement.
12.4 Business Customers
Where the Customer is a business, partnership, or other legal entity rather than an individual consumer, Sections 12.1 and 12.2 apply in full, and the carve-out in Section 12.3 does not extend to the entity.
12.5 Class Action Waiver
To the extent permitted by applicable law, the Customer and NeuraCryption agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
13. Miscellaneous
13.1 Entire Agreement
These Terms, together with the Privacy Policy and any applicable data processing addendum, constitute the entire agreement between the parties regarding the Services.
13.2 Severability
If any provision of these Terms is held invalid or unenforceable in any jurisdiction, that provision is limited or eliminated to the minimum extent necessary in that jurisdiction only, and the remaining provisions remain in full force and effect, including as applied to Customers in other jurisdictions.
13.3 Amendments
NeuraCryption may modify these Terms upon notice, which may be provided by email, dashboard notification, or posting on the Platform. Continued use of the Services after the effective date of an amendment constitutes acceptance, except where applicable law requires a Customer's affirmative consent to a material change, in which case NeuraCryption will seek that consent before the change takes effect for that Customer.
13.4 No Waiver
No failure or delay by NeuraCryption in exercising any right under this Agreement operates as a waiver of that right.
13.5 Assignment
The Customer may not assign this Agreement without NeuraCryption's prior written consent. NeuraCryption may assign this Agreement in connection with a merger, acquisition, or sale of substantially all its assets, subject to applicable law.
14. Intellectual Property Rights and Proprietary Technology
14.1 Ownership of Services and Platform IP
NeuraCryption and its licensors retain all right, title, and interest (including all patents, copyrights, trademarks, trade secrets, and other intellectual property rights) in and to the Services. This includes, but is not limited to, the artificial intelligence models, telecommunications routing algorithms, WebRTC interfaces, application programming interfaces (APIs), dashboard software, documentation, and any underlying source code or compiled software (collectively, the "NeuraCryption Technology"). This Agreement does not grant the Customer any ownership interest in the NeuraCryption Technology, but only a limited right of use as expressly set forth below.
14.2 Limited License Grant
Subject to the Customer's complete and ongoing compliance with this Agreement and payment of all applicable fees, NeuraCryption grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services solely for the purpose of configuring and operating the Customer's authorized outbound or inbound call center workflows.
14.3 Prohibited Technical Conduct and Reverse Engineering
To protect NeuraCryption's proprietary trade secrets and software architecture, the Customer shall not, and shall not permit or authorize any third party to:
- Decompile, disassemble, reverse engineer, or otherwise attempt to discover the source code, object code, logic, models, weights, or underlying structure of the NeuraCryption Technology.
- Attempt to bypass, exploit, or disable any security mechanisms, rate limits, or concurrency caps embedded within the APIs or WebRTC interfaces.
- Use the Services, or any outputs generated by the AI Models, to develop, train, fine-tune, or commercialize a competing conversational AI product, telecommunications routing service, or automated call center platform.
- Scrape, spider, or systematically extract data or software components from the neuracryption.com platform.
14.4 Customer Content and BYOC Configurations
The Customer retains all intellectual property rights in the proprietary data they upload to the Services, including custom context files (context.md), system prompts, internal business knowledge bases, and proprietary function-calling endpoints (collectively, "Customer Content"). The Customer grants NeuraCryption a limited, worldwide, royalty-free license to host, process, and transmit Customer Content strictly as necessary to execute the requested telecommunications and AI services on the Customer's behalf.
14.5 Protection of Foundational Models (No Training Clause)
NeuraCryption acknowledges the sensitive nature of the Customer's business operations. NeuraCryption agrees that it will not utilize Customer Content, nor the specific interactions generated through the Customer's BYOC Configurations, to train, retrain, or fine-tune its foundational AI models for the benefit of other users, unless the Customer explicitly opts into a specific data-sharing or model-optimization program.
14.6 AI Outputs and Telecommunications Data
Subject to NeuraCryption's underlying rights in the NeuraCryption Technology, the Customer shall own all rights, title, and interest in the specific audio outputs, transcripts, and call analytics generated solely from the Customer's distinct prompts and workflows ("Outputs"). NeuraCryption may aggregate and anonymize operational metadata (e.g., latency metrics, call duration, WebRTC packet loss data) to maintain, optimize, and secure the platform infrastructure ("Derived Data"). NeuraCryption retains all rights to this anonymized Derived Data.
14.7 Feedback
If the Customer provides any suggestions, enhancement requests, bug reports, or other feedback regarding the Services ("Feedback"), the Customer grants NeuraCryption a perpetual, irrevocable, worldwide, royalty-free license to incorporate and use such Feedback to improve the NeuraCryption Technology, without any obligation or compensation to the Customer.
14.8 Trademarks and Brand Assets
"NeuraCryption," the NeuraCryption logo, and any related product or service names are trademarks of NeuraCryption Private Limited. The Customer is not granted any right or license to use these trademarks, logos, or brand assets for marketing, promotional, or public endorsement purposes without the prior, express written consent of NeuraCryption.
